A leading TSX-listed global industrial company is seeking an Associate General Counsel to join its legal leadership team in Vancouver. Reporting to the SVP, General Counsel & Corporate Secretary, this role offers a rare opportunity for a seasoned corporate lawyer to operate at the highest levels of a complex multinational enterprise—advising executive leadership and the Board, leading significant strategic transactions, and helping shape governance, compliance, and risk management across a global organization.
In this role, you will serve as a trusted advisor on corporate governance, securities disclosure, and board matters, including leading the preparation of key public company filings such as the Information Circular and Annual Information Form, and supporting Board and committee processes. You will also play a central role in major corporate transactions and special projects, including acquisitions, divestitures, joint ventures, greenfield initiatives, and complex commercial agreements, working closely with business leaders and cross-functional teams to drive transactions from concept to completion.
Beyond transactional work, you will provide strategic commercial advisory across areas such as marketing arrangements, logistics, supply chain, and offtake agreements—bringing practical legal guidance and strong commercial judgment to business decisions. You will also champion governance best practices and regulatory compliance, translating multi-jurisdictional legal developments into clear and actionable guidance for the organization, while mentoring junior members of the legal team and helping build a high-performing, collaborative legal function.
The ideal candidate brings 15+ years of corporate/commercial legal experience, including significant exposure to public company governance, securities law, and complex cross-border transactions. You are a strategic thinker with strong executive presence, proven experience advising senior leadership and Boards of Directors, and the ability to lead complex negotiations involving multiple stakeholders across jurisdictions. Membership in good standing with a Canadian law society is required.
