A well-established, full-service downtown Toronto law firm is seeking an experienced Legal Assistant to join its Corporate & Commercial group. This is an excellent opportunity for someone who takes pride in producing high-quality work and thrives in a busy, team-oriented environment.
Salary: $55,000 – $70,000
Key Responsibilities:
- Support corporate and commercial transactions from start to finish
- Request and review corporate searches; complete PPSA summaries
- Prepare and maintain closing agendas, closing documents, and reporting books
- Draft and revise commercial agreements, including shareholder agreements, limited partnership agreements, supply contracts, security documents, and leases
- Conduct title and off-title searches; process title insurance orders
- Manage commercial real estate purchases, sales, and financings from opening to closing
- Prepare requisition letters, closing documents, reporting letters, and fulfill lending conditions
- Assist with commercial financing transactions, including drafting authorizing resolutions, officers’ certificates, and related documents
- Review due diligence materials and maintain transaction summaries
- Prepare leases, renewals, and amending agreements
- Handle file administration including conflict searches, file openings, wire forms, and cheque requisitions
- Draft correspondence and manage document production using Teraview, Conveyancer, MatterSphere, MS Office, Adobe, and related software
Qualifications:
- 2+ years of experience in corporate/commercial or commercial real estate
- Law Clerk or Legal Assistant diploma
- Strong knowledge of commercial real estate transactions
- Advanced proficiency with Teraview (including registrations)
- Experience with title insurance
- Corp-link and Cyberbahn experience considered an asset
- Strong organizational skills with the ability to manage multiple priorities
