The Role
As Lead Counsel, Canada, you will be responsible for overseeing all legal matters for Maximus Canada. Reporting to the Managing Director and Country Leader, you will act as the senior legal authority in the country and a key advisor to the executive team.
Overseeing a lean team of two other staff, and with support from Maximus’ US-based General Counsel, you will manage contracts, compliance, governance, and transactions, while partnering closely with senior leaders on business strategy and risk. This role is both broad and hands-on, requiring a lawyer who can combine executive presence with strong technical execution.
The compensation range for this position is $200,000 to $235,000, plus eligibility for bonus, retirement savings, benefits, and paid vacation. The role is ideally situated in their Toronto (hybrid), where most of the executive team are located.
Key Responsibilities
- Act as lead counsel for Maximus Canada, primarily advising on complex commercial agreements, compliance, risk and strategy
- Lead contract strategy and negotiation for government procurements, SaaS agreements, infrastructure partnerships, and large institutional contracts
- Provide high-level risk assessments and guide leadership on commercial decisions in a fast-paced environment
- Manage external counsel on mergers and acquisitions and other specialized mandates
- Oversee corporate governance, compliance, and policy development for Canadian operations
- Support bid responses and large-scale RFPs, advising on structure, risk allocation, and contract execution
- Mentor and guide the contracts and legal support team to ensure efficient processes and high-quality execution
- Represent Maximus Canada in executive and client-facing meetings, presenting legal positions clearly and pragmatically
What You Bring
- Law degree and license in good standing with a Canadian provincial bar (Ontario or BC preferred)
- 10+ years of post-call experience, ideally with exposure to SaaS, infrastructure (P3), government procurement, and large institutional contracts
- Track record of partnering with senior executives and influencing business strategy
- Strong contract negotiation skills and ability to deliver pragmatic, commercially sound advice
- Experience managing external counsel and overseeing corporate transactions
- Leadership capability to manage a small team and shape the legal function
- A practical approach to risk and an action-oriented approach
